SPONSORSHIP AGREEMENT

This Sponsorship Agreement (hereinafter “Agreement”) is made and executed on this at .

, having their registered office at , (hereinafter referred to as the “ Sponsor ”, which expression shall, unless it be repugnant to the context or meaning thereof, means and includes its parent, subsidiary companies, heirs, executors, administrators, legal representatives/ the partners or partner for the time being of the firm the survivors or survivor of them and the heirs, executors, administrators of the last surviving partner and his or her assigns/ its successors and assigns of the ONE PART.

‎ , having their registered office at , ( hereinafter referred to as the “ Promoter ”, which expression shall, unless it be repugnant to the context or meaning thereof, means and includes its parent, subsidiary companies, heirs, executors, administrators, legal representatives/ the partners or partner for the time being of the firm the survivors or survivor of them and the heirs, executors, administrators of the last surviving partner and his or her assigns/ its successors and assigns of the OTHER PART.

WHEREAS, The Sponsor is indulging in the profession of

WHEREAS, the Sponsor is desirous of sponsoring the Event in consideration of fees paid by the Company.

AND WHEREAS, THIS AGREEMENT shall constitute the full agreement between the above-named Sponsor and the above-named Promoter with respect to ____ (event) which is tentatively scheduled for (date) of the event (hereinafter referred to as the “Event”) in connection with the Products and services (collectively hereinafter referred to as the “Products”)].

NOW, THEREFORE, in consideration of the premises and the mutual agreements contained herein and the mutual benefits to be derived from this Agreement, the parties hereby agree as follows:

1. Services

The Sponsor will act as sponsor of the event for the company and will provide certain services as mentioned in the attached Exhibit A. The Sponsor shall supervise and organise the Event, including but not limited to making necessary arrangements for the Event. Such arrangement may include obtaining any permits or licenses, negotiating any leases, arranging equipment necessary for the Event and fixing price and the services by any other contractor for the event.

2. Sponsorship fee:

2.1

The Sponsor Company shall pay the amount of Rs. payable upon execution of this Agreement. Payment not received by the due date will be in default of this Agreement.

2.2

Sponsor shall receive, at no cost (no. Of tickets) tickets for the specific event . The tickets shall be for favourable seats in the highest price range and best locations. In addition, the Sponsor shall have the right to purchase, at the ticket’s face value price up to per cent ( %) of additional tickets, such additional tickets to be for favourable seats in the highest price range and shall be made available at the earliest date(s) possible prior to the Event.

3. Advertising:

3.1

An official logo and catchphrase shall be developed for the Event by Promoter which shall be subject to the approval of the Sponsor and which shall refer to Sponsor (in first position), Event (e.g. “Sponsor” presents “Event”). Such logo and/or catchphrase where applicable shall be prominently included in all promotional and advertising references, which relate to the Event and disseminated throughout the print and broadcast media and points of sale by the Promoter announcing the Event.

3.2

Nothing herein contained shall constitute an obligation on Sponsor’s part to advertise or promote the Event, it being understood by the parties hereto that the Sponsor may do so at it, option or may refrain therefrom.

3.3

Any uses of the official logo and/or catchphrase, other than specifically provided for in this Agreement shall require the prior written permission of both Sponsor and Promoter.

4. Exclusivity:

5. Independent Contractor

Nothing contained in this Agreement or any document executed in connection herewith shall be constructed to create an employer-employee, partnership or joint venture relationship between the Company and Sponsor. The sponsor is an independent contractor and not an employee of the Company. As an independent contractor, the Sponsor shall have no authority or power to incur debts, obligations or commitments of any kind whatsoever for or on behalf of the Company, or to bind the Company to any contract, agreements, etc.

7. Termination:

The parties hereto shall have the right to terminate this Agreement forthwith in the event any one of them going into liquidation (except for the purpose of amalgamation or reconstruction or making any arrangement or composition with its creditors or where either party fails to remedy a material breach of a term of this Agreement within 30 days of receipt of a written notice requiring said breach to be remedied.

8. Force Majure:

The parties hereto shall not be liable for non-performance of any of the terms of this Agreement if such non-performance results from any act of God, strike or force majeure conditions. Neither the Promoter nor the Sponsor shall be entitled to assign the benefit of this Agreement in whole or in part without the prior written consent of the other.

9. Severability:

10. Notice:

Any notice to be served under this Agreement shall be in writing and served upon the recipient at its address herein set out (or such other address as may be notified for this purpose) either by hand or by registered post or by Fax or email.

11. Indemnification:

Each party shall indemnify and hold the other harmless for any losses, claims, damages, awards, penalties, or injuries incurred by any third party, including reasonable lawyer's fees, which arise from any alleged breach of such indemnifying party's representations and warranties made under this Agreement, provided that the indemnifying party is promptly notified of any such claims.

12. Insurance

The sponsor agrees to provide insurance in an amount of Rs. for the Event and shall provide the Company on request a Certificate of insurance from the insurance company.

13. Amendments:

This Agreement may be amended only by written agreement duly executed by an authorized representative of each party (email is acceptable). This Agreement shall not be assigned by either party without the express, written consent of the other party

14. Dispute Resolution:

The Parties agree to first mediate any disputes or claims between them in good faith and resolve the disputes amicably and share the cost of mediation equally. In the event that mediation fails, any claim arising out of or relating to this Agreement shall be settled by Arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. All hearings will be held at and shall be conducted in English. The parties shall each appoint an arbitrator who shall then appoint a sole arbitrator to preside over the Arbitration proceedings.

15. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of India. The adjudication of any dispute will be the exclusive jurisdiction of the courts of
