Shareholder’s agreement

This shareholders' agreement governs the relationship among the shareholders of a company and between them and the company in India. It records the parties and their shareholding, capital and funding, management and board composition, reserved matters and voting, dividend policy, and information rights. It also covers transfer restrictions such as rights of first refusal, tag-along and drag-along rights, pre-emptive rights, anti-dilution, exit and deadlock resolution, confidentiality, non-compete, and dispute resolution under the Companies Act and other Indian law. Founders and investors use it to align governance and protect their interests.
